Western Troy Announces Termination of its Letter of Intent with Cultivation Technologies, Inc.

TORONTO, Aug. 29, 2019 (GLOBE NEWSWIRE) -- Western Troy Capital Resources (TSX Venture: WRY) (“Western Troy”) announces the termination of the Letter of Intent (“LOI”) dated February 20, 2019 between Western Troy and Cultivation Technologies, Inc. (“CTI”), as previously disclosed in Western Troy’s press release dated February 26, 2019.

As previously announced in February, Western Troy and CTI had intended to complete a reverse takeover transaction (“RTO”) pursuant to the LOI that would have resulted in CTI becoming a wholly-owned subsidiary of Western Troy.  Completion of the RTO was subject to a number of conditions, one of which included resolution of pending CTI litigation.   CTI could not resolve the litigation and as a result has been prevented from pursuing the RTO.   Accordingly, the LOI was terminated in July of 2019.  

Western Troy is evaluating a number of opportunities to bring value to its shareholders.
