VANCOUVER, Aug. 30, 2019 /CNW/ - Mineral Mountain Resources Ltd. ("Mineral Mountain" or the "Company") (TSXV: "MMV") is pleased to announce that it is arranging a non-brokered private placement (the "Private Placement") of up to 20,000,000 units of the Company ("Units") to be sold at a price of C$0.15 per Unit to raise gross proceeds of up to C$3,000,000. Each Unit consists of one common share of the Company and one common share purchase warrant (a "Warrant"), with each Warrant entitling the holder to purchase one common share of the Company (a "Warrant Share") for a period of one (1) year from closing at an exercise price of C$0.25 per Warrant Share.

Mineral Mountain Resources Ltd. (CNW Group/Mineral Mountain Resources Ltd.)

The net proceeds raised from the Private Placement are intended to be used primarily to fund a 4,000 m Phase 2 directional drilling program designed to test high grade gold values recorded historically down plunge along the East Limb Structure. The first drill hole will be a "Mother" pilot hole of up to 1600m to a vertical depth below the 1,000m level which will include down hole geophysics DHEM. This Mother pilot hole, using directional drilling, will attempt to trace along the lower contact of the East Limb Structure and intersect the wide, high grade gold zone Homestake drilled in 1986.

"Our Phase 1 drill program results completed last season combined with the Company's comprehensive database provide strong evidence that the 30m wide, south-southeast plunging East Limb Structure, which hosts the Standby Mine former producer, is believed to be part of a large, deep thickened body of gold hosted iron formation, similar to the host rocks of the Homestake Mine, that plunge to the south-southeast", stated Nelson Baker, President and CEO of Mineral Mountain Resources Ltd.

The securities issued pursuant to the Private Placement will be subject to a four month plus one day hold period in accordance with applicable Canadian securities laws. The Company may pay a finders' fee on a portion of the financing in accordance with TSX Venture Exchange ("TSXV") policies. The Private Placement is subject to TSXV approval.

About Mineral Mountain Resources and the Rochford Gold Project

Mineral Mountain Resources Ltd., through its wholly owned subsidiary Mineral Mountain Resources (SD) Inc., is focused on the exploration and, if warranted, development of its 100%-owned Rochford Gold Project situated along the highly prospective Homestake Gold Belt in the Black Hills of South Dakota, U.S.A. The Rochford Project covers approximately 7,500 acres and straddles three major trends of structurally thickened banded iron formation (BIF) that host ledge-type gold mineralization.

Since 2013, the Company has continued to expand its land position in the Rochford Gold District by professional claim staking, and also by purchasing strategically located private properties that fall along two of the major sub-parallel structural trends that host Ledge-type gold mineralization. The Company now owns the largest land position in the Rochford greenstone belt and the most comprehensive database for the district. Mineral Mountain's technical team have established that the Homestake Gold Trend, which includes the Rochford Project, is under-explored and constitutes one of the most prospective gold districts in North America.
