North American Nickel Announces Update to Bought Deal Financing

Vancouver, British Columbia--(Newsfile Corp. - December 16, 2019) - North American Nickel Inc. (TSXV: NAN) (OTCQB: WSCRF) (CUSIP: 65704T 108) (the "Company" or "NAN") announces that, further to its press release dated October 31, 2019, announcing a $2,000,000 bought deal financing, the Company has agreed with lead underwriter Laurentian Bank Securities Inc. (the "Underwriter") to amend the offering to issue to the Underwriter 2,224,666 flow-through common shares of the Company (the "FT Shares") at a price of $0.18 per FT Share and 7,873,265 units of the Company (the "Units") at a price of $0.18 per Unit for gross proceeds of $1,817,627.58 (the "Offering"). Each Unit issued pursuant to the Offering will consist of one common share in the capital of the Company (a "Common Share") and one-half of one Common Share purchase warrant (each whole common share purchase warrant, a "Warrant"). Each Warrant will entitle the holder thereof to acquire one Common Share for a period of twenty-four (24) months following the closing date, at a price of $0.25.

All other terms of the Offering remain unchanged.

The Offering is scheduled to close on or about December 18, 2019, or such other date as may be agreed between the Company and the Underwriter (the "Closing Date") and is subject to certain conditions, including, but not limited to, the receipt of all necessary approvals, including the approval of the TSX Venture Exchange and the applicable securities regulatory authorities. All securities issued pursuant to the Offering will be subject to a hold period expiring April 19, 2020, under applicable Canadian securities legislation.

The Company acquired 100% ownership of property near the southern extent of the Lingman Lake Greenstone Belt in northwest Ontario known as Lingman Nickel and in the Quetico region near Thunder Bay Ontario. The acquisition of these properties are part of the company's strategy to develop a pipeline of new nickel projects. The Company is evaluating direct and indirect nickel asset acquisition opportunities globally.
