Tudor Gold Announces Closing of Non-Brokered Private Placement

Vancouver, British Columbia--(Newsfile Corp. - February 16, 2023) - Tudor Gold Corp. (TSXV: TUD) ("Tudor Gold" or the "Company") is pleased to announce it has closed a non-brokered private placement (the "Private Placement"), raising gross proceeds of $400,000 through the issuance of 320,000 units of the Company (the "Units") at an issue price of $1.25 per Unit. The Units are comprised of one common share of the Company (a "Share"), and one common share purchase warrant (a "Warrant").

Each Warrant will entitle the holder thereof to purchase one additional common share of the Company at an exercise price of $1.75 for a period of two (2) years from the date of issuance of the Warrants.

The proceeds of the Private Placement will be used for general operating expenses.

The securities comprising each of the Units will have a hold period of until June 15, 2023. The closing of the Private Placement is subject to the final approval of the Exchange.
